Senior Commercial Counsel

Ondo Finance is building institutional-grade investment products and services on blockchain infrastructure. Founded by alumni from Goldman Sachs Digital Assets Team and backed by leading investors including Founders Fund, Coinbase Ventures, and Pantera Capital, Ondo operates both a technology arm developing decentralized finance infrastructure and an asset management arm creating tokenized funds. The company pioneered US Treasury tokenization and leads the market in tokenizing public equities, positioning itself at the forefront of the real-world asset tokenization movement.

The Web3 legal sector has experienced explosive growth, with security and compliance roles seeing some of the fastest hiring expansion in blockchain and AI sectors combined. As companies scale tokenized assets and institutional products, demand for experienced commercial counsel has intensified. Ondo's position as a market leader in this space reflects broader trends: institutional capital flowing into Web3, regulatory frameworks maturing, and sophisticated commercial relationships becoming central to business success.

You will join Ondo's legal team as Senior Counsel, Commercial, working fully remote from the US. This role partners closely with business development, partnerships, marketing, operations, and other commercial teams to structure, negotiate, and execute agreements supporting the company's expansion.

What you'll do

• Serve as primary legal partner to business development, partnerships, marketing, operations, and commercial teams across strategic relationships and transactions

• Draft, review, and negotiate sophisticated commercial agreements including partnerships, distribution, technology licensing, vendor, service, referral, marketing, data, and confidentiality contracts

• Lead complex negotiations from initial structuring through execution and renewal, providing practical counsel that balances legal risk with commercial speed

• Advise stakeholders on contractual, regulatory, reputational, and counterparty risks across relationships with financial institutions, fintech companies, blockchain protocols, exchanges, custodians, and technology providers

• Collaborate with compliance and regulatory counsel on securities, financial promotions, anti-money laundering, data protection, licensing, and geographic compliance matters

• Develop scalable contract templates, negotiation frameworks, approval workflows, and training resources for business teams on contracting and risk management

• Support senior legal leadership and the AGC Commercial on strategic transactions and organizational priorities

What you'll bring

• JD from an accredited US law school plus five to eight or more years of legal experience at a major law firm or high-growth blockchain, fintech, financial services, or technology company

• Demonstrated expertise drafting and negotiating complex commercial agreements with strong knowledge of liability, indemnification, intellectual property, data use, confidentiality, service levels, and termination structures

• Track record advising business development, partnerships, marketing, sales, and operations teams on commercial matters

• Strong commercial judgment, clear analytical thinking, and ability to lead negotiations independently with senior stakeholders and sophisticated external parties

• Working knowledge of blockchain industry dynamics, digital asset business models, and commercial relationships in financial services ecosystems

• Understanding of securities regulations, anti-money laundering requirements, financial promotion rules, and data protection laws

• Excellent drafting, negotiation, and communication abilities with strong organizational and multitasking skills

Nice to have

• Experience with tokenized assets, institutional financial products, or international commercial transactions

• Familiarity with distributed protocol development or decentralized finance technology
