Associate General Counsel, Corporate

The Legal team at Mysten Labs operates as a strategic business partner, and you'll join as Associate General Counsel reporting directly to the General Counsel. You'll own a broad portfolio of corporate legal matters across the organization, working hands-on with executives and business leaders on everything from governance and complex transactions to finance, employment, and strategic initiatives. This is a role built for someone who enjoys autonomy, can navigate novel problems with incomplete information, and sees legal work as a business discipline rather than purely compliance.

What you'll do

• Lead strategic transactions including joint ventures, investments, acquisitions, dispositions, and restructurings from initial strategy through close.

• Advise the General Counsel and executive leadership on corporate legal strategy, governance, and risk in evolving business situations.

• Structure and execute corporate initiatives across finance, tax, accounting, people operations, and other functions, working cross-functionally to translate legal requirements into business solutions.

• Handle corporate finance matters including equity and debt financings, treasury functions, and capital transactions.

• Partner with the People team on employment law, executive compensation, equity and token compensation structures, and related employee matters.

• Draft, negotiate, and review transaction documents, corporate agreements, board materials, policies, and supporting legal documentation.

• Identify legal and business risks in situations with novel issues or incomplete facts, then develop practical recommendations for senior stakeholders.

• Manage outside counsel relationships, determine when specialist expertise is needed, and drive matters to completion efficiently.

What you'll bring

• Eight or more years of corporate legal experience, including significant time at a leading law firm and/or legal department in a high-growth technology company.

• Strong corporate law foundation with direct experience in governance and complex transactions.

• Track record with M&A, joint ventures, strategic investments, corporate restructurings, financings, or subsidiary governance.

• Ability to independently lead complex matters, coordinate cross-functional teams, and drive projects from identification through execution.

• Versatility as a corporate generalist, with willingness to develop expertise in unfamiliar areas quickly.

• Strong business judgment to assess and weigh legal and business risk appropriately.

• Executive-level communication skills that translate complex issues into clear, actionable advice.

• Collaborative, solutions-oriented approach working across finance, tax, accounting, people, and operations teams.

• Self-starter with strong ownership mindset who thrives in lean, fast-moving environments.

• J.D. from an accredited law school and active membership in at least one U.S. state bar with eligibility to practice in California.

Nice to have

• Interest in blockchain technology and willingness to develop deep understanding of Mysten Labs' business and the web3 ecosystem.

• Prior web3 or crypto experience.
